1. Agreement
These Terms govern use of the checkmateapp.ai website and, unless a signed Master Services Agreement and Order Form apply (in which case those control), access to the CheckmateAI platform (the "Service"), provided by Libre Group LLC, a Maryland limited liability company (SDAT N623800473) ("CheckmateAI"). By using the Service you accept these Terms on behalf of a business; the Service is offered to business users only.
2. The Service
CheckmateAI provides AI-assisted cybersecurity tabletop exercises, including scenario generation, decision evaluation, and after-action reporting. Exercises are simulations for training and readiness purposes.
3. Accounts
Platform access is provisioned under a customer tenant. You are responsible for the confidentiality of credentials and for activity under your account, and must notify us promptly of suspected compromise.
4. Acceptable use
You must not: (a) probe, scan, or test the security of the Service, or attempt to bypass tenant isolation or access controls, without our prior written authorisation, except good-faith security research carried out in accordance with our Vulnerability Disclosure Policy; (b) use the Service to plan, facilitate, or conduct actual attacks or any unlawful activity — scenarios are simulations only; (c) submit production credentials, secrets, or special-category personal data, or personal data beyond what the exercise requires; (d) upload malicious code, scrape the Service, or interfere with its operation; (e) resell or white-label the Service except under a written agreement with us.
5. Customer Data
As between the parties, the customer owns all data submitted to the platform ("Customer Data"). We process Customer Data as processor under the Data Processing Agreement, use it only to provide and secure the Service, and do not use it to train AI models. On termination, Customer Data is exported, deleted, or de-identified in accordance with the DPA, subject to append-only audit records retained as required by law.
6. AI-generated content
Scenario content, evaluations, and after-action reports are generated with AI assistance and reviewed through a human facilitator workflow. They are training artefacts, not security, legal, or compliance advice; completing exercises does not guarantee regulatory compliance or prevention of incidents. The customer remains responsible for its security decisions.
7. Intellectual property
CheckmateAI and its licensors own the Service, including the exercise engine, scenario frameworks, software, and documentation. Customers receive a non-exclusive, non-transferable right to use the Service during the subscription term. You grant us a licence to use feedback without restriction.
8. Confidentiality
Each party protects the other's non-public information with at least reasonable care and uses it only to perform under these Terms.
9. Fees
Fees, if any, are set out in the applicable Order Form. Nothing on the website constitutes an offer at a given price.
10. Disclaimers
The website is provided "as is". Except as expressly stated in a signed agreement, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement, and do not warrant uninterrupted or error-free operation.
11. Liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or lost profits or data; each party's aggregate liability is capped at the fees paid for the Service in the 12 months preceding the claim (or €100 for free/website use). Nothing limits liability for wilful misconduct, gross negligence, or amounts that cannot be limited by law.
12. Suspension and termination
We may suspend access for security risk or material breach of Section 4, with notice where practicable. Either party may terminate for uncured material breach on 30 days' notice.
13. General
These Terms are governed by the laws of the State of Maryland, USA. Nothing in these Terms removes any protection you have under the mandatory law of the country where you live. These Terms plus any signed agreement are the entire agreement; no assignment without consent except to an affiliate or in a merger or sale; if a provision is unenforceable, the remainder stands. We may update these Terms with notice via the website; continued use constitutes acceptance. Contact: legal@checkmateapp.ai.
